SERVICE SUBSCRIPTION AGREEMENT

This Subscription Agreement (the “Agreement”) is entered into by and between BlueFaucet, Inc. (“BlueFaucet”) and the Subscriber (“Subscriber”) and governs the terms and conditions of the Subscriber’s use of BlueFaucet’s services.

  1. Services Provided

BlueFaucet grants Subscribers non-exclusive, non-transferable access to the BlueFaucet platform (the “Service”), subject to the terms of this Agreement.

As part of the subscription, BlueFaucet provides the following services:

  • A comprehensive platform to build and manage an online store, including product listings and customer memberships database.
  • Marketing tools for creating and managing promotions and coupons for customers within the membership.
  • Customer retention and analytics tools to track sales and monitor customer engagement.

BlueFaucet reserves the right to enhance, modify, or discontinue specific features of the Service. Subscribers will be notified of significant changes.

  1. Subscription Term

Free Trial Program

  • Offer of Service: BlueFaucet operates as a subscription-based service. Feature details and pricing are outlined on the Pricing Page of the BlueFaucet website or application interface. BlueFaucet enforces a no-refund policy.
  • Trial Offer: New merchants receive a 30-day Free Trial during which they gain full access to BlueFaucet’s services, except for the Employee Account service. This includes store-building features, promotion creation, and customer membership invitations at no cost.
  • Post-Trial Access:
    • If a merchant’s customer base remains under 50 customers by the trial’s end, they retain complimentary access under the initial conditions.
    • If a merchant’s customer base exceeds 50 customers, they must transition to a paid subscription to retain full-service functionality. Failure to subscribe will result in restricted access to customer data beyond the 50-customer threshold.
  • Data Deletion: If a merchant does not subscribe within 7 days after trial expiration, customer data exceeding the 50-customer limit will be permanently deleted and cannot be restored, even if a subscription is renewed later.
  • Program Updates: BlueFaucet reserves the right to modify or update the Free Trial Program, including duration, features, or eligibility. Changes will be communicated through the BlueFaucet website or application.

Subscription Terms

  • Effective Date: This Agreement becomes effective upon the merchant’s registration.
  • Renewals: The Recurrent Charge feature is enabled by default to ensure automatic renewal before the subscription period ends. Subscribers can disable this feature by canceling their subscription through the designated platform or support channels. If not renewed, services will terminate automatically at the end of the subscription period.
  1. Fees and Payment
  • Subscription Fees: The Subscriber agrees to pay the subscription fees associated with the selected plan (“Fees”).
  • Payment Terms: Payments are based on the chosen plan duration (e.g., 3-month, 6-month, or 12-month terms).
  • Free Trial Subscription: Subscribers in the Free Trial Program will not be charged until the trial ends. However, for plans that include complimentary Employee Account service, access to this feature will be activated immediately.
  • Additional Services: Fees for services beyond the subscription scope will be charged as specified in the service terms or future amendments.
  • Failure to Make Payment: BlueFaucet will send two payment reminders:
    • 23rd day: Initial payment reminder.
    • 29th day: Final payment notice.
    • If payment is not made, the subscription is deemed canceled, and on the 37th day, the account will be transferred to the Free Trial Program.
  • Fee Adjustments: BlueFaucet reserves the right to adjust subscription fees with 30 days’ advance notice. Continued use of the Service constitutes acceptance of the updated fees.
  1. Subscription Coverage
  • The subscription fee covers membership access only.
  • BlueFaucet provides various tools for product and service promotion, but these features are only available to customers within the merchant’s membership.
  • Any services or promotions outside the membership scope may incur additional charges. Pricing details will be available upon request or outlined in the subscription plan.
  1. No Refund Policy
  • All payments under this Agreement are non-refundable, including cases of early termination.
  • Refund Exceptions: Refunds may be granted at BlueFaucet’s sole discretion in the event of prolonged service outages exceeding 48 hours or billing errors caused by BlueFaucet.
  1. Subscription Coverage
  • The subscription fee covers membership access only.
  • BlueFaucet provides various tools for product and service promotion, but these features are only available to customers within the merchant’s membership.
  • Any services or promotions outside the membership scope may incur additional charges. Pricing details will be available upon request or outlined in the subscription plan.
  1. No Refund Policy
  • All payments under this Agreement are non-refundable, including cases of early termination.
